SAMPLE COMMODITY SUPPLY AGREEMENT

(Syndicated Fuel Purchasing Program — eGolfVillage Supply Syndicate)

This Agreement

This Commodity Supply Agreement (“Agreement”) is entered into as of [Effective Date], by and between:

eGolfVillage Supply Syndicate, LLC, acting as the authorized procurement cooperative and syndicate manager (the “Syndicate”),
and
[Supplier Name], a licensed fuel distributor (the “Supplier”),
and
[Participating Golf Course Name], a course operating under the eGolfVillage membership network (the “Participant”).

Collectively, the Syndicate, Supplier, and Participant are referred to as the “Parties.”

1. PURPOSE

The purpose of this Agreement is to establish the terms under which the Supplier shall provide bulk gasoline and diesel fuel to participating golf courses through the eGolfVillage Supply Syndicate at volume-discounted rates, leveraging the collective purchasing power of all participating members.

2. TERM

This Agreement shall commence on the Effective Date and remain in force for 36 months, unless terminated earlier in accordance with Section 10 (Termination).

3. PRODUCT & SPECIFICATIONS

  • Products:

    • Regular Unleaded Gasoline (87 octane)

    • Off-Road Diesel (Red Dyed)

    • On-Road Diesel (Clear)

  • Standards: All fuel must meet or exceed ASTM specifications and applicable EPA and State Department of Agriculture fuel quality standards.

  • Delivery Method: Supplier shall deliver via dedicated transport to designated storage tanks at each Participant location.

4. PRICING & DISCOUNTS

  1. Base Price: Indexed to the OPIS Rack Average for the Denver (or nearest regional) terminal on the day of delivery.

  2. Syndicate Volume Discount:
    Supplier shall apply a volume-tier discount based on cumulative monthly gallons ordered across all eGolfVillage participants:

    0–50,000 gallons $0.05
    50,001–150,000 gallons $0.08
    150,001–300,000 gallons $0.10
    300,001+ gallons $0.12

  3. Payment Terms: Net 15 days from invoice date via ACH or approved syndicate billing platform.

  4. Fuel Surcharge: Included in OPIS base; no additional surcharge unless diesel exceeds $5.00/gallon nationally.

5. SUPPLY OBLIGATIONS

  • Supplier guarantees priority allocation of up to [X,000] gallons per course per month, subject to reasonable seasonal variation.

  • Deliveries shall occur within 48 hours of order confirmation.

  • Supplier shall maintain emergency response and spill containment plans in accordance with local and federal regulations.

6. PARTICIPANT OBLIGATIONS

Each Participant agrees to:

  • Purchase all required golf course operational fuel exclusively from Supplier during the term of this Agreement.

  • Maintain fuel storage tanks in compliance with EPA and state environmental regulations.

  • Provide accurate monthly consumption reports to the Syndicate.

7. SYNDICATE ADMINISTRATION

  • eGolfVillage Supply Syndicate will serve as administrator of this cooperative purchasing program, aggregating participant orders and managing data for tiered pricing qualification.

  • The Syndicate will receive a service facilitation fee of $0.01 per gallon from the Supplier for program management and audit services.

  • Supplier shall provide quarterly volume statements to the Syndicate for transparency and group performance tracking.

8. SUSTAINABILITY & REPORTING

Supplier shall provide annual data summaries including:

  • Total gallons delivered

  • CO₂ reduction from optimized delivery scheduling

  • Emission offset credits (if applicable)

Participants may opt into the eGolfVillage Carbon Offset Program, allowing tracked reductions to convert into eGolfTokens as part of the sustainability initiative.

9. LIABILITY & INSURANCE

Supplier shall maintain:

  • General Liability: $2,000,000 aggregate

  • Environmental/Pollution Liability: $2,000,000 minimum

  • Auto & Cargo Insurance: $1,000,000

Participants shall maintain:

  • Premises Liability: $1,000,000 minimum

  • Tank insurance for environmental compliance.

10. TERMINATION

This Agreement may be terminated:
a) By mutual written consent of all Parties;
b) By either party upon 30 days written notice for material breach;
c) By the Syndicate if Supplier fails to maintain quality, delivery, or compliance standards.

Upon termination, outstanding invoices must be settled within 15 business days.

11. CONFIDENTIALITY

All pricing, volume data, and Syndicate membership lists are considered confidential and shall not be disclosed without prior written consent, except as required by law.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
